Paralegal
Job Description
A prominent law firm in Dallas is seeking a Corporate Finance Paralegal to support high-level transactional and finance matters from deal inception through post-closing. This role offers direct exposure to attorneys, clients, lenders, opposing counsel, and corporate service providers in a fast-paced, deal-driven environment.
The ideal candidate will have strong transactional experience, excellent organizational skills, and the ability to manage multiple deadlines while handling complex finance transactions.
Key Responsibilities
- Transaction & Deal Management
- Assist with all phases of finance and corporate transactions from opening through post-closing.
- Maintain and update closing checklists and transaction status reports.
- Draft and prepare transactional documents including resolutions, secretary certificates, incumbency certificates, joinders, opinions, allonges, and related financing documents.
- Organize and manage due diligence materials and transaction records.
- Coordinate execution of signature packets and closing documents among multiple parties.
- Assemble and distribute fully executed closing binders and electronic closing sets.
UCC & Corporate Filings
- Conduct and summarize UCC, lien, litigation, bankruptcy, and judgment searches.
- Prepare and file UCC financing statements, amendments, continuations, assignments, and terminations.
- Obtain good standing certificates, certified charters, and related corporate records.
- Coordinate post-closing filings and follow-up matters.
Post-Closing & Administrative Support
- Track and manage post-closing obligations and reminders.
- Coordinate with outside vendors, service companies, and corporate service providers.
- Support attorneys with transaction-related projects and time-sensitive assignments.
- Work closely with accounting regarding vendor management, invoices, and transactional billing.
- Assist with maintaining and updating client information systems and databases.
- Bachelor’s degree required.
- ABA-approved Paralegal Certificate preferred.
- Minimum 3+ years of corporate finance, transactional, or corporate/securities paralegal experience.
- Strong understanding of finance transactions, closing processes, and UCC filings.
- Ability to prioritize and manage multiple deadlines in a fast-paced legal environment.

- Ability to work independently and collaboratively with legal teams and clients.
- Comfortable handling high-volume, deadline-driven transactional work.
- Flexibility to work overtime as needed.
